Commission Agreement
This Commission Agreement (the "Agreement") is entered into on _______ (Date) between the following two parties, who agree to abide by all terms and conditions herein:

1. Cooperation Content
Party A entrusts Party B to provide sales services, including promoting Party A’s products, introducing customers and facilitating the conclusion of sales contracts between Party A and customers. After Party B completes the sales service and Party A signs a sales contract with the customer, Party A shall pay commission to Party B in accordance with this Agreement.
2. Commission Payment Terms
2.1 Commission Calculation: The commission shall be calculated at 5 % (in words: Five Percent) of the contract amount of the sales contract signed between Party A and the customer.All fees stated are exclusive of GST.
2.2 Payment Time: Party A shall pay the full commission to Party B on the same day when Party A receives the deposit from the customer. No delay or deduction is allowed without justifiable reasons.

2.4 Late Payment Interest:If Party A fails to pay commission on time, Party A shall pay default interest at the rate of 10% per annum (daily compounded) on the unpaid amount from the due date until full payment is received.
3. Liability Allocation
3.1 Party B’s Liability: Party B is only responsible for providing sales services (including customer introduction and sales promotion) and shall not be liable for any issues related to product quality, after-sales service or any disputes arising therefrom.
3.2 Party A’s Liability: Party A shall guarantee that all products sold with the assistance of Party B are qualified in quality, and shall take full and sole responsibility for all product quality problems, after-sales service and any customer claims or disputes related thereto. All quality and after-sales matters have no connection with Party B.
4. Other Provisions
4.1 This Agreement is governed by the laws of New South Wales, Australia.
4.2 This Agreement shall take effect upon the signature and seal of both parties, and shall remain in effect until the commission for the completed sales is fully paid.
4.3 This Agreement is made in two identical copies, with Party A and Party B each holding one copy, both having equal legal effect.
4.4 Any dispute arising from this Agreement shall be resolved through friendly negotiation between both parties; If no agreement can be reached, either party may initiate legal proceedings in the court with jurisdiction over either party.
